February is a critical month for tax compliance, packed with deadlines for year-end reporting. For business owners, staying on top of these dates for payroll forms, information returns, and tax deposits is essential to avoid penalties. Here’s a breakdown of the key dates you need on your calendar.

Crucial Deadlines on February 2, 2026

The beginning of the month is the most intensive period for filing. Many forms related to payments made in 2025 are due to both recipients and government agencies.

Forms for Employees and Contractors

  • Forms W-2 & W-3: Employers must provide 2025 W-2 forms to all employees. Additionally, Copy A of the W-2s, along with the transmittal Form W-3, must be filed with the Social Security Administration.
  • Form 1099-NEC: If you paid $600 or more for nonemployee compensation to independent contractors, you must issue Form 1099-NEC to them and file copies with the IRS. This applies to payments for services, commissions, or professional fees.

Other Information Returns Due to Recipients

Several other forms must be sent to recipients by February 2, though their IRS filing deadlines may be later.

  • Forms 1099 Series (MISC, DIV, INT, etc.): These report various types of income like rent, royalties, dividends, and interest.
  • Form 1098: This form reports mortgage interest paid.
  • Form W-2G: Payers of certain gambling winnings must provide this form to the winners.

Annual and Quarterly Payroll Tax Filings

  • Form 941: File the Employer's Quarterly Federal Tax Return for the fourth quarter of 2025.
  • Form 940: File the Employer's Annual Federal Unemployment (FUTA) Tax Return for 2025.
  • Form 943: Farm employers must file their annual return for Social Security, Medicare, and withheld income taxes.

Extended Deadlines: February 10, 2026

If you made all your required tax deposits on time and in full, the IRS grants a 10-day extension to file several key forms. This extension applies to Forms 940, 941, 943, 944 (for certain small employers), and 945.

Mid-Month Deadlines: February 17, 2026

A few more important dates land mid-month.

  • Information Statements Due: Certain forms, including 1099-B (Broker Transactions), 1099-S (Real Estate Transactions), and specific 1099-MISC filings, are due to recipients.

Weekends and Holidays

Remember, if a deadline falls on a Saturday, Sunday, or legal holiday, the due date automatically shifts to the next business day. Several deadlines this month fall on the 15th (a Sunday) and 16th (President's Day), pushing them to Tuesday, the 17th.
